Almost Family Announces Proposed Offering of 2,500,000 Shares of Common Stock

 

Louisville, KY, January 17, 2017 — Almost Family, Inc. (NASDAQ: AFAM) today announced a proposed underwritten public offering of 2,500,000 shares of its common stock.

 

Almost Family intends to use the net proceeds from the offering to repay outstanding indebtedness under its revolving credit facility.  In connection with the offering, Almost Family intends to grant the underwriters a 30-day option to purchase up to an additional 375,000 shares of its common stock.

 

J.P. Morgan Securities and Merrill Lynch, Pierce, Fenner & Smith will act as joint book-running managers for the offering and as representatives of the underwriters.  Capital One Securities, Fifth Third Securities and Regions Securities will act as co-managers for the offering.  The offering is being made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission (“SEC”).  The offering will be made only by means of a prospectus supplement and the accompanying base prospectus, copies of which may be obtained by contacting (i) J.P.
