Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On April 3, 2018, the Company announced that it appointed Jeremy K. Deal, 40, as a member of the Board. Mr. Deal was appointed by the Board at its meeting on March 29, 2018 and the appointment was effective on March 29, 2018. Mr. Deal will serve on the Audit Committee and as Chairman of the Governance, Compensation and Nomination Committee.


Mr. Deal is the founder and portfolio manager of JDP Capital Management. Prior to founding JDP Capital in 2011, Mr. Deal worked in the home security and energy management industries. He holds a Bachelor of Science in International Business from Alliant International.

 

Mr. Deal does not have any interest in any transactions requiring disclosure under Item 404(a) of Regulation S-K, and there are no arrangements or understandings between Mr. Deal and any other person pursuant to which he was appointed as a director.
