Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 19, 2017, American National Bankshares Inc. (the “Company”), the parent company of American National Bank and Trust Company (the “Bank”), announced that Ramsey K. Hamadi, Executive Vice President of the Company and Executive Vice President and Chief Administrative Officer of the Bank, submitted his resignation from the Company and the Bank on October 19, 2017.






Mr. Hamadi’s resignation is not the result of any disagreement with the Company or the Bank or any matter relating to the operations, policies or practices of the Company or Bank.

A copy of the Company’s press release with respect to the above matters is attached as Exhibit 99.1 hereto and incorporated herein by reference.
