Explanatory Note
This Amendment Number 1 on Form 8-K/A (the “Amendment”) amends Exhibit 10.1 attached to the Current Report on Form 8-K (the “Original Report”) of EXCO Resources, Inc. (“EXCO”) filed with the Securities and Exchange Commission (“Commission”) on April 2, 2015. EXCO is filing this Amendment to file a complete version of Exhibit 10.1, including all exhibits and schedules, in response to comments from the Staff of the Commission. No other modifications to the Original Report are being made by this Amendment.
