Item 7.01                                           Regulation FD Disclosure.

ServiceMaster Global Holdings, Inc. (the “Company”) announced today that in connection with the initial public offering of 35,900,000 shares (the “Firm Shares”) of the Company’s common stock, the underwriters for the offering have exercised in full their option to purchase an additional 5,385,000 additional shares (the “Option Shares”) from the Company at the initial offering price of $17.00 per share, less the underwriting discount of $0.85 per share.  The Company expects the closing of the sale of the Firm Shares and the Option Shares to occur on July 1, 2014.
