Item 2.02 Results of Operations and Financial Condition.
On May 9, 2013, USA Mobility, Inc. (the “Company”) issued a press release announcing financial results for the first quarter ended March 31, 2013. A copy of the press release is furnished as Exhibit 99.1 to this report.

Item 8.01 Other Events.
Also on May 9, 2013, the Company’s Board of Directors declared a regular quarterly cash dividend of $0.125 per share of common stock. The cash dividends will be paid on June 25, 2013 to stockholders of record on May 20, 2013.
