Item 3.02 Unregistered Sales of Equity Securities.
On January 13, 2021, Ameri Metro, Inc. (the “Company”) agreed to issue 5,640 Class C Series Shares to Penndel Land Co. in exchange for the forgiveness of $338,337 of debt. Penndel Land Co. is a private entity related party to Mr. Mathias. The issuance was done pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended.
