Item 8.01 Other Events.

In a press release issued on January 21, 2020, President James M. Gasior announced that in its meeting on January 21, 2020, the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.14. The dividend is payable on or after March 2, 2020 to shareholders of record as of February 10, 2020. In addition, a special dividend of $.05 per share was declared, also payable on March 2, 2020 to shareholders of record as of February 10, 2020. The press release is included as Exhibit 99.1 to this current report on Form 8K.
