Other Events.

On January 28, 2019, Versum Materials, Inc. (“Versum”) and Entegris, Inc. (“Entegris”) issued a joint press release announcing their entry into an agreement and plan of merger, by and between Versum and Entegris. Also on January 28, 2019, Versum and Entegris each published a joint investor presentation to their respective websites.

A copy of the joint press release is attached as Exhibit 99.1 hereto and is hereby incorporated by reference. A copy of the joint investor presentation is attached as Exhibit 99.2 hereto and is incorporated herein by reference.
