Results of Operations and Financial Condition.
 
On January 15, 2019, Nicolet Bankshares, Inc. ("Nicolet"), announced its earnings for the quarter and year ended December 31, 2018. A copy of the press release is attached as Exhibit 99.1 to this Report on Form 8-K and is incorporated herein by reference.
 
Pursuant to General Instruction B.2 of Form 8-K, the information in this Item 2.02 and Exhibit 99.1 is being furnished to the Securities and Exchange Commission and shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) or otherwise subject to the liabilities under that Section. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Election of Director

On January 15, 2019, the Nicolet Board of Directors increased the size of the Board by one member and elected Rachel Campos-Duffy. Ms. Campos-Duffy was also selected to serve as a director of Nicolet's wholly-owned subsidiary, Nicolet National Bank. Ms. Campos-Duffy was not selected as a director pursuant to any arrangement or understanding.

Ms. Campos-Duffy holds a degree in Economics from Arizona State University's Honors College and a Masters Degree from the University of California, San Diego in International Affairs and Public Policy. Ms. Campos-Duffy is a published author, communications consultant, and media personality specializing in political analysis, culture, and parenting.
