Item 3.01             Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
On March 15, 2018, iPass Inc. (the “Company”) received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) formally notifying the Company that, due to the Company’s continued non-compliance with the $1.00 bid price requirement set forth in Nasdaq Listing Rule 5450(a)(1) as of March 14, 2018, the Company’s securities would be subject to delisting from Nasdaq unless the Company timely requests a hearing before the Nasdaq Hearings Panel (the “Panel”).
The Company intends to timely request a hearing before the Panel, which request will stay any delisting action by Nasdaq at least pending the outcome of the hearing and the expiration of any extension that may be granted to the Company by the Panel. At the hearing, the Company will present its plan to regain compliance with the bid price requirement, which may include but would not likely be limited to, the Company’s commitment to effect a reverse stock split, subject to receipt of approval for such action by the Company’s stockholders at the upcoming annual meeting.
