Item 8.01. Other Events.

On September 20, 2017, Multi-Color Corporation (“Multi-Color”) announced the pricing of its private offering of $600 million aggregate principal amount (representing a $120 million increase in principal amount from the previously announced private offering) of 4.875% senior notes due 2025 to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and in offshore transactions pursuant to Regulation S under the Securities Act (the “Notes Offering”). A copy of the press release regarding the Notes Offering is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
