Apollo Transaction Member Letter


July 10, 2017

Dear Valued Member,

We are writing to share some exciting news about ClubCorp. ClubCorp will be acquired by certain funds managed by affiliates of Apollo Global Management (the “Apollo funds”) (together with its consolidated subsidiaries, “Apollo”), a leading global alternative investment manager. Operating as a private company, owned by the Apollo funds, will help us continue to deliver unrivaled experiences and the highest level of service to all of our valued members.
    
Apollo manages one of the largest private equity businesses in the world and ClubCorp will become an investment within the portfolio of funds they manage alongside other consumer-oriented companies currently or formerly owned by Apollo-managed funds, such as ADT, Chuck E. Cheese’s, Diamond Resorts International, Great Wolf Lodge, Norwegian Cruise Lines, AMC Theaters, and Hostess Brands. Apollo’s philosophy is to seek investments in industry-leading companies and support company management in achieving their strategic plan by providing expertise at the Board of Directors level.

When we initiated our strategic review process earlier this year, our goal was to determine how best to achieve our long-term objectives for the business and our stakeholders, and to do so in a way that would enhance your membership experience.

Over the last several months our board of directors, management team and its external advisors extensively evaluated a broad range of strategic alternatives. Ultimately, we determined that working with the Apollo funds as investors will best position ClubCorp to pursue its long-term goals. Apollo, which is a public company listed on the New York Stock Exchange (APO), is one of the world’s preeminent private equity firms – and a proven leader and partner in the hospitality space. Apollo understands and appreciates the clubs we operate, and importantly, shares our vision to be the premier club operator. Given Apollo’s experience with premium hospitality brands around the globe, we are confident the Apollo Funds are the right owner for ClubCorp.

Looking ahead, we expect the transaction to close in the fourth quarter of this year. Until then, ClubCorp will continue to operate as a public company. This announcement will have little if any impact on our day-to-day operations or your experiences at our clubs. Everyone at ClubCorp remains focused on our number one priority – delivering the highest level of service and enriching the lives of our members.
