EXPLANATORY NOTE
On March 8, 2017, Kingsway Financial Services Inc. (the “Company”) issued a press release announcing its results for the fourth quarter and year ended December 31, 2016. A copy of the press release was furnished as an exhibit to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on March 8, 2017 (the “Original 8-K”). This Amendment No. 1 on Form 8-K/A is being filed to amend Items 2.02 and 9.01 of the Original 8-K, solely for the purpose of attaching a corrected version of the press release.
ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On March 8, 2017, the Company issued a press release announcing its results for the fourth quarter and year ended December 31, 2016. In the press release, the Company failed to include in its net income attributable to shareholders $9.9 million of income tax benefit as a result of the acquisition of CMC Industries, Inc. On March 13, 2017, the Company issued a corrected version of the press release that included such information (the “Corrected Press Release”). A copy of the Corrected Press Release is furnished as Exhibit 99.1 to this Amendment No. 1 on Form 8-K/A.
