Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 2, 2017, Max Shevitz resigned his position as President of Learning Tree International, Inc. (the “Company”), effective January 1, 2017. Prior to his resignation, Mr. Shevitz notified the Board of Directors of his intention to retire and was continuing to serve as President on a reduced work schedule. The remaining responsibilities performed by Mr. Shevitz have now been assumed by members of senior management of the Company. Mr. Shevitz may continue to serve as an adviser to the Company following his resignation, subject to negotiating terms of a consulting agreement.
