Item 1.01. Entry into a Material Definitive Agreement.

On November 15, 2016, Hines Global REIT 100/140 Fourth Ave LLC (the “Seller”), a wholly-owned subsidiary of Hines Global REIT Properties LP, which is a subsidiary of Hines Global REIT, Inc. (“Hines Global” or the “Company”), entered into a contract with GI TC Seattle, LLC (the “Purchaser”), to sell Komo Plaza (the “Contract”). Komo Plaza is a mixed-use two-building complex located in Seattle, Washington. The Purchaser is not affiliated with Hines Global or its affiliates.

The net contract sales price for Komo Plaza is expected to be approximately $276.0 million in aggregate, exclusive of transaction costs and closing prorations. On November 16, 2016, the Purchaser funded an earnest money deposit in the sum of $12.0 million. The Purchaser may be entitled to a return of its earnest money deposit if the Contract is terminated under certain conditions, pursuant to the terms of the Contract. Hines Global expects the closing of this sale to occur in December 2016, subject to a number of closing conditions. However, under certain circumstances, the Purchaser may extend the closing date one or more times to a date no later than 45 days after the scheduled closing date. There is no guarantee that this sale will be consummated.
