Item 2.02 Results of Operations and Financial Condition.
On March 28, 2016, Bay Banks of Virginia, Inc. reported that it is revising its results for the quarter and year ended December 31, 2015 as a result of fraud perpetrated by one of its customers. Highlights of the financial revisions are attached as Exhibit 99.1 to this report and are incorporated herein by reference.
