Item 8.01. Other Events.

On December 15, 2015, Global Payments, Inc. (“Global Payments”) and Heartland Payment Systems, Inc. (“Heartland”) issued a joint press release announcing that they have entered into a definitive agreement for Global Payments to acquire Heartland. The full text of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

In connection with the proposed merger, Global Payments will file with the SEC a Registration Statement on Form S-4 that will include a proxy statement of Heartland Payment Systems, Inc. that also constitutes a prospectus of Global Payments, as well as other relevant documents concerning the proposed transaction.
