Item 8.01 Other Events.
On April 21, 2015, Goldman Sachs BDC, Inc. issued a press release, announcing that it issued all 900,000 shares of its common stock (the “Common Stock”), pursuant to the over-allotment option granted to the underwriters in connection with its initial public offering of 6,000,000 shares of Common Stock, which closed on March 23, 2015. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
