Item 5.07 Submission of Matters to a Vote of Security Holders.
 
On February 18, 2015, Covance Inc. (the “Company”) held its Special Meeting of Stockholders (the “Special Meeting”). The Company filed its Definitive Proxy Statement for the proposals voted upon at the Special Meeting with the Securities and Exchange Commission on January 16, 2015.
 
As of January 15, 2015, the record date for the Special Meeting, 56,959,151 shares of the Company’s common stock were outstanding and entitled to vote at the Special Meeting. A quorum of 44,918,722 shares of the Company’s common stock were represented in person or by proxy at the Special Meeting. The number of votes cast for, against or withheld, as well as abstentions and broker non-votes, if applicable, with respect to each proposal is set out below:
 
1. Proposal to adopt the Agreement and Plan of Merger, dated as of November 2, 2014 (the “Merger Agreement”), by and among the Company, Laboratory Corporation of American Holdings (“LabCorp”), and Neon Merger Sub Inc., a subsidiary of LabCorp. The proposal to adopt the Merger Agreement received the affirmative vote of approximately 78.1% of the outstanding shares of common stock entitled to vote at the Special Meeting.

2. Non-binding, advisory proposal to approve the compensation that may become payable to the Company’s named executive officers in connection with the completion of the merger.
