Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(b) On a Form 8-K Current Report dated and filed on October 29, 2014, United announced the planned retirement of Steven E. Wilson, Chief Financial Officer of United Bankshares, Inc. (“United”) and United Bank, Inc. (the “Bank”), an indirectly-owned subsidiary of United. Mr. Wilson retired on December 31, 2014. On January 1, 2015, Mr. Wilson became an independent contractor to provide certain consulting services to United on a significantly reduced basis pursuant to the terms of a Consulting Agreement attached hereto as Exhibit 10.1.
(c) Also, as reported on the Form 8-K Current Report dated and filed on October 29, 2014, W. Mark Tatterson, Executive Vice-President of United succeeded Mr. Wilson as Chief Financial Officer on January 1, 2015.
