On October 27, 2014, the Registrant’s Board of Directors elected Paul S. Williams to the Board. Mr. Williams will serve as a Class I director, whose term will expire in 2017. The Governance Committee of the Board of Directors has not yet determined committee memberships for Mr. Williams.

Mr. Williams will receive compensation pursuant to the Summary of Director Compensation which is described in the proxy statement for the Registrant’s 2014 annual meeting of stockholders that was filed with the Securities and Exchange Commission on April 9, 2014.

A Press Release announcing the election of Mr. Williams to the Board of Directors of the Registrant is attached as Exhibit 99.1 and incorporated herein by reference.
