(b) On February 25, 2014, Frank A. Petito, III, delivered to USA Technologies, Inc. (the "Company") his written resignation from the Board of Directors of the Company, effective February 27, 2014. Mr. Petito's resignation was not because of a disagreement with the Company or any of its operations, policies, or practices. Mr. Petito had been a member of the Board of Directors since February 2012 and, at the time of his resignation, was a member of the Compensation Committee of the Board of Directors.
