Item   8.01.
Other Events.
 
On January 14, 2014, Winthrop Realty Trust (the “Trust”) issued a press release announcing the refinancing by the entity (“701 Owner”) that owns the property located at 701 Seventh Avenue, New York, New York of its existing debt and certain agreements entered into by the Trust in connection therewith.  The Trust holds an indirect preferred equity interest in 701 Owner.  A copy of the press release is attached hereto as Exhibit 99.1.
