Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On August 20, 2013, the Board of Directors of JDS Uniphase Corporation (the “Company”) approved an increase in the target incentive opportunity for Thomas Waechter, the Company’s President and Chief Executive Officer, under the Company’s Variable Pay Plan (the “VPP”) from 120% of his base salary to 135% of his base salary, effective June 30, 2013. The increased rate will apply to the awards Mr. Waechter receives under the VPP during fiscal year 2014.
