On May 21, 2013, of 4,268,438 shares outstanding and entitled to vote at our annual meeting, 3,813,209 were present in person or by proxy, representing 89.3% of votes received, and the following matters were voted upon and approved by our shareholders at the 2013 Annual Meeting:

the election of four members to our board of directors;

the non-binding resolution on our executive compensation policies and procedures;

3.

the advisory, non-binding resolution on the frequency of the vote on the compensation of our executive officers;

4.

the ratification of the appointment of Elliott Davis, LLC as our independent public accountant.
