Item 7.01 Regulation FD Disclosure.
On March 4, 2013, Ferro Corporation (the "Corporation") issued a press release (the "Press Release") confirming that its Board of Directors had previously received and rejected an unsolicited proposal from A. Schulman, Inc. to acquire all of the outstanding shares of the Corporation. A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated in this Item 7.01 by reference.
