Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On October 17, 2012, the Compensation Committee (the “Committee”) of the Board of Directors (the “Board”) of JDS Uniphase Corporation (the “Company”) approved increases in the annual base salaries for the following named executive officers, effective October 21, 2012:
| • | Alan Lowe, Executive Vice President and President, Communications and Commercial Optical Products, $540,000; |
| • | David Heard, Executive Vice President and President, Communications Test & Measurement, $450,000; and |
| • | Roy Bie, Senior Vice President, Transition Services, $350,000. |
The Committee did not increase the annual base salary of the Company’s Acting Chief Financial Officer at this time. Additionally, the Board previously decided not to make any adjustments to the annual base salary of the Company’s Chief Executive Officer for fiscal year 2013.
