Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 9, 2012, the Compensation Committee of the Board of Directors of Network Engines, Inc. (the “Company”) approved salary increases of 3% for the following executive officers of the Company, effective July 1, 2012.  The executive officers below will receive the following annual compensation rates:

There were no changes to the incentive compensation targets previously approved by the Compensation Committee.   No changes were made to current compensation levels for the Company’s other executive officers.
