Results of Operations and Financial Condition

On April 26, 2012, Datawatch Corporation (“Datawatch”) issued a press release reporting its financial results for its quarter ended March 31, 2012. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
