Results of Operations and Financial Condition.
|
On March 30, 2012, FS Investment Corporation (the “Company”) increased the Company’s public offering price from $10.70 per share to $10.75 per share. This increase in the public offering price was effective as of the Company’s April 2, 2012 semi-monthly closing and first applied to subscriptions received from March 16, 2012 through April 1, 2012.
The purpose of this action was to ensure that the Company’s net asset value per share did not exceed the Company’s offering price per share, after deduction of selling commissions and dealer manager fees, as required by the Investment Company Act of 1940, as amended.
A copy of the press release announcing the foregoing is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
