Item 2.02 Results of Operations and Financial Condition
On October 29, 2020, Watford Holdings Ltd. (“the Company”) issued a press release reporting its earnings for the quarter ended September 30, 2020. The press release is attached hereto as Exhibit 99.1.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On October 28, 2020, John Rathgeber, who is a director on the Board of Directors (the “Board”) of the Company, notified the Board in writing of his resignation with immediate effect. Mr. Rathgeber, as previously announced, had retired as Chief Executive Officer of the Company on March 31, 2020 and his resignation from the Board was for personal reasons and not the result of any disputes or disagreements with the Company. The Company appreciates Mr. Rathgeber's many contributions and dedicated service to the Company over the past six years, both as a director and as the Company's former Chief Executive Officer.
