Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The York Water Company (the “Company”) has appointed Alexandra C. Chiaruttini to the officer position of Chief Administrative Officer and General Counsel effective October 13, 2020.  Prior to joining the Company, Ms. Chiaruttini was the Chief Counsel for the Pennsylvania Department of Environmental Protection, Harrisburg, PA from October 2015 to the present, Partner and Chair of Environmental Practice for Stock and Leader, LP, York, PA from February 2008 to September 2015, Associate in the Environmental Law and Toxic Tort Practice Group for McNees Wallace & Nurick, LLC, Harrisburg, PA from March 2001 to January 2008, and the Assistant Regional Counsel of the Southcentral Office of the Pennsylvania Department of Environmental Protection, Harrisburg, PA from September 1997 to February 2001.

As an officer of the Company, Ms. Chiaruttini will be entering into a supplemental retirement agreement and a change in control agreement with benefits, terms and conditions similar to those of the other Named Executive Officers (with the exception of the President and CEO) which are described in the Company’s proxy statement filed on March 20, 2020 in the “Compensation of Directors and Executive Officers” section.  The Company intends to file a copy of Ms. Chiaruttini’s agreements as exhibits to the Company’s next regularly scheduled quarterly report on Form 10-K or Form 10-Q to be filed with the U.S. Securities and Exchange Commission after approval by the Compensation Committee of the Board of Directors.

There are no arrangements or understandings between Ms. Chiaruttini and any other person pursuant to which Ms. Chiaruttini was selected as an officer, and there are and have been no transactions since the beginning of the Company’s last fiscal year, or currently proposed, regarding Ms. Chiaruttini that is required to be disclosed by Item 404(a) of Regulation S-K.
