Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 5, 2020, the board of directors of Vishay Prevision Group, Inc. (the “Company”) promoted and appointed Amir Tal as the Company’s Senior Vice President and Chief Accounting Officer, effective February 5, 2020.

Mr. Tal, age 50, has served as the Company’s Senior Vice President, Finance since March 2017. From July 2010 to February 2017, Mr. Tal served as the Company’s Vice President Operational Controller and Regional Controller Israel. Mr. Tal holds a bachelor’s degree in economics and business administration from the University of Haifa and an MBA from Bar Ilan University.

There are no arrangements or understandings between Mr. Tal and any other person pursuant to which he was selected as an officer of the Company, and there is no family relationship between Mr. Tal and any of the Company’s other directors or executive officers. Mr. Tal is not a party to any transaction that would require disclosure under Item 404(a) of Regulation S-K promulgated under the Securities Act of 1933, as amended.
