On February 5, 2020, Ziopharm Oncology, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Jefferies LLC, as representative of the several underwriters listed on Schedule A thereto (the Underwriters), to issue and sell 27,826,086 shares of common stock of the Company, par value $0.001 per share (Common Stock), in connection with an underwritten public offering pursuant to an effective registration statement on Form S-3ASR (File No. 333-232283) and a related prospectus and prospectus supplement, in each case filed with the Securities and Exchange Commission (the Offering). The offering price to the public is $3.25 per share.
