Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 29, 2020, Joseph Darling, the Company’s President and Chief Executive Officer, passed away unexpectedly. The Company’s Board of Directors has initiated a search process to identify a new chief executive officer and intends to engage an executive search firm to assist in the search. A Board-appointed Office of the President is providing ongoing leadership and oversight of day-to-day operations of the Company until a successor chief executive officer is identified and appointed. The Office of the President consists of: Sylvia Cheung, Chief Financial Officer, Treasurer and Secretary; James Loerop, Executive Vice President of Business Development and Strategic Planning; and Thomas Finnerty, Executive Vice President of Human Resources. Cheryl Blanchard, a member of the Board, will serve as liaison between the Board and the Office of the President, including by regularly meeting with the members of the Office of the President and reporting to the Board. Each of Ms. Cheung, Mr. Loerop and Mr. Finnerty will continue to serve in their current positions while carrying out their responsibilities as members of the Office of the President.
