Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 18, 2019, Urstadt Biddle Properties Inc. announced that on December 17, 2019, Charles J. Urstadt, age 91, retired from the Board of Directors of the Company, concluding more than 30 years of service as a director.  Although no longer serving on the Board of Directors, Charles J. Urstadt will remain with the Company in a non-executive role and as Chairman & Director, Emeritus.

A copy of the press release announcing the retirement of Charles J. Urstadt from the Board of Directors is attached as Exhibit 99.1 to this Current Report on Form 8-K.
