Item 1.01.
Entry into a Material Definitive Agreement.
Agreement and Plan of Merger and Reorganization
On December 17, 2019, Innovate Biopharmaceuticals, Inc., a Delaware corporation (the “Company”), entered into a First Amendment (the “Amendment”) to the previously disclosed Agreement and Plan of Merger and Reorganization (the “Merger Agreement”), originally dated October 6, 2019, with INNT Merger Sub 1 Ltd., a company organized under the laws of Israel and a directly, wholly-owned subsidiary of the Company (“Merger Sub”), RDD Pharma Ltd., a company organized under the laws of Israel (“RDD”) and Orbimed Israel Partners, Limited Partnership, as the Shareholder Representative. The Merger Agreement was previously filed as Exhibit 2.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the "SEC") on October 7, 2019.
The parties to the Merger Agreement entered into the Amendment to, among other things: (i) amend the RDD Fully Diluted Ownership Ratio, (ii) increase the amount of time that RDD has to obtain the approval of the Merger from its stockholders and (iii) increase the termination fee payable by RDD to the Company in certain circumstances, from $250,000 to $1 million. Except as modified by the Amendment, the terms of the Merger Agreement in the form attached as Exhibit 2.1 to the Current Report on Form 8-K filed by the Company with the SEC on October 7, 2019 are unchanged.
