Item 8.01.

Other Events

On November 27, 2018, BSB Bancorp, Inc. (“BSB Bancorp”) issued a joint press release announcing the execution of the Agreement and Plan of Merger, dated as of November 26, 2018, by and between People’s United Financial, Inc. (“Peoples United”) and BSB Bancorp, pursuant to which, on the terms and subject to the conditions set forth therein, BSB Bancorp will merge with and into People’s United, with People’s United as the surviving corporation in the merger. A copy of the joint press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
