| Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On August 28, 2018, the board of directors of First Keystone Corporation (the “Corporation”) approved and adopted amendments to its Amended and Restated Articles of Incorporation adding new Article 11 and its Amended and Restated Bylaws amending and restating Article 25 in order to permit the Corporation’s securities to be represented by uncertificated shares. The amendments were effective upon filing of Articles of Amendment with the Pennsylvania Department of State which occurred on August 28, 2018.
The Amended and Restated Articles of Incorporation and Amended and Restated Bylaws reflecting the amendments are attached hereto as Exhibits 3.1 and 3.2 and are incorporated in this Item 5.03 by reference.
