NOMINEE HOLDER CERTIFICATION
The undersigned, a broker, custodian bank, trustee, depositary or other nominee holder of subscription rights to purchase shares of common stock, $0.01 par value, of Delcath Systems, Inc. (“DCTH”) pursuant to the rights offering described and provided for in the DCTH’s prospectus dated [ ], 2018, hereby certifies to DCTH, American Stock Transfer & Trust Company, LLC, as subscription agent for the rights offering, and to D.F.
