Item 1.01 Entry into a Material Definitive Agreement

On June 18, 2018, Cue Biopharma, Inc. (the “Company”) entered into a First Amendment to License Agreement (the “Amendment”) to its License Agreement (the “License”) with MIL 21E, LLC dated January 22, 2018 relating to the lease of approximately 19,833 rentable square feet of the building located at 21 Erie Street, Cambridge, Massachusetts.

Pursuant to the Amendment (1) the commencement date of the License was delayed to May 15, 2018 and (2) the monthly rental rate for the last 18 months of the License Term was reduced from $388,396 to $330,550.

A copy of the Amendment is filed herewith as Exhibit 10.1 and is incorporated herein by reference.
