Item 5.07. Submission of Matters to a Vote of Security Holders.
At the 2018 Annual Meeting of Stockholders of Crescent Capital BDC, Inc. (the Corporation) held on May 30, 2018 (the Annual Meeting), the following three proposals were voted on: (1) the election of Steven F. Strandberg and Christopher G. Wright as Class III directors, who will each serve for a three-year term expiring at the 2021 annual meeting of stockholders or until his successor is duly elected and qualified; (2) the ratification of Ernst & Young LLP as the Corporations independent registered public accounting firm for the fiscal year ending December 31, 2018; and (3) the adjournment of the Annual Meeting to 10 a.m. Pacific Time on June 19, 2018 at the offices of the Corporation at 11100 Santa Monica Blvd., Suite 2000, Los Angeles, California 90025.
Stockholders of record at the close of business on April 27, 2018 were entitled to vote at the Annual Meeting. As of April 27, 2018, the record date, there were 9,343,227 shares of common stock outstanding and entitled to vote. 9,212,686 shares of common stock of the Corporation were present or represented at the Annual Meeting, constituting a quorum.
The final voting results for each of the proposals submitted to a vote of stockholders at the Annual Meeting are set forth below. Each proposal was approved by the requisite vote.
Proposal 1: The election of Steven F. Strandberg and Christopher G. Wright as Class III directors, who will each serve for a three-year term expiring at the 2021 annual meeting of stockholders or until his successor is duly elected and qualified:
