As a valued partner to Cohu, I am delighted to share with you some exciting news. Today, Cohu announced that it will acquire Xcerra, a provider of semiconductor test and handling equipment, test contacting and PCB test solutions to the electronics industry. We are very excited about this transaction and believe it will provide significant benefits to our company, customers and suppliers.

 

The combination of Cohu and Xcerra creates a leading company in the semiconductor supply chain focused on test and handling equipment, thermal subsystems, test contacting, vision inspection, PCB and MEMS test solutions. This business combination offers compelling synergies that will enable us to more effectively meet the needs of our customers. In alignment with our commitment to customers, we intend to maintain our valued relationships with our existing suppliers and believe this transaction represents exciting opportunities for expansion in the future. Our primary goal is to maintain the high standard of quality that you have delivered to our company, and that our mutual customers have come to expect.

 

We anticipate this acquisition will be completed in the second half of calendar year 2018, subject to customary approvals and closing conditions, and we expect a seamless integration of our two companies. We will make every endeavor to keep you informed of our progress over the coming months. Upon the closing of the transaction, we will be working closely with you to enhance the supply chain and maximize the benefits of any increased volumes.
