Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On February 20, 2018, FC Global Realty Incorporated (formerly PhotoMedex, Inc., hereinafter referred to as the “Company”) (NasdaqCM and TASE: FCRE) received written notification (the “Notice”) from The NASDAQ Stock Market LLC (“NASDAQ”) that the closing bid price of its common stock had been below the minimum $1.00 per share for the previous 30 consecutive business days, and that the Company is therefore not in compliance with the requirements for continued listing on the NASDAQ Capital Market under NASDAQ Marketplace Rule 5550(a)(2). The Notice provides the Company with an initial period of 180 calendar days, or until August 19, 2018, to regain compliance with the listing rules. The Company will regain compliance if the closing bid price of its common stock is $1.00 per share or higher for a minimum period of ten consecutive business days during this compliance period, as confirmed by written notification from NASDAQ.

 

If the Company does not achieve compliance by August 19, 2018, the Company expects that NASDAQ would provide notice that its securities are subject to delisting from the NASDAQ Capital Market.

 

The Company will continue to monitor the closing bid price for its common stock and to assess its options for maintaining the listing of its common stock on the Nasdaq Capital Market in light of this Notice. The Company will consider all available options to regain compliance with the minimum bid requirements, including an application to NASDAQ for an extension of the compliance period or an appeal to a Hearings Panel should its closing bid price not have regained compliance during the compliance period.
