Item 5.02(b)    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On February 12, 2018, Steven W. Abrahams resigned from the Board of Directors of MTGE Investment Corp. (the “Company”), effective immediately. Mr. Abrahams advised the Company that he is resigning to pursue a new opportunity that will leave him unable to continue his service on the Board. Mr. Abrahams’ resignation is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
