Item 7.01 Regulation FD Disclosure.
On December 22, 2017, Carter Validus Mission Critical REIT, Inc. (the “Company”) sent a letter to stockholders on behalf of its board of directors to notify stockholders about an unsolicited tender offer being made for shares of the Company’s common stock by Everest REIT Investors I, LLC and Everest REIT Investors II, LLC. In this letter the Company informed stockholders that it is in the process of preparing an updated estimated net asset value per share of its common stock calculated as of September 30, 2017 (the “2017 Estimated Value”) and expects to announce the 2017 Estimated Value prior to December 31, 2017 in a Current Report on Form 8-K.
