Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective October 25, 2017, the board of directors of Superior Industries International, Inc. (the “Company”) approved an amendment to the Company’s bylaws reflecting a prior change in the Company’s registered agent from The Corporation Trust Company to Corporation Service Company. A copy of the Amended and Restated Bylaws is attached hereto as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
