Item 7.01. Regulation FD Disclosure.

On October 6, 2017, Nuverra Environmental Solutions, Inc. (the “Company”) issued a press release announcing that its common stock has been approved for listing on the NYSE American. A copy of the press release is being furnished as Exhibit 99.1 hereto and is incorporated by reference herein.

The information contained in this Item 7.01 and Exhibit 99.1 is being furnished and shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of such section, nor shall such information be deemed incorporated by reference in any filing under the Securities Act or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

 

Item 8.01. Other Events.

As previously disclosed by the Company on its Current Report on Form 8-K filed on August 11, 2017, the Company and certain of its material subsidiaries emerged from Bankruptcy protection under chapter 11 of the United States Bankruptcy Code on August 7, 2017, pursuant to their Amended Joint Plans of Reorganization (collectively, the “Plan”). Pursuant to the Plan, the Company’s common stock has been approved for listing on the NYSE American. The Company anticipates that its common stock will begin trading on the NYSE American on October 12, 2017 under the ticker symbol “NES.” The Company’s listing on the NYSE American is subject to the Company’s continued satisfaction of the NYSE American listing standards.
