Item 8.01
Other Events.

The Company is aware of the Schedule 13D/A filing from GAMCO Investors noting its intent to submit a shareholder proposal to be voted on at the Company’s 2018 Annual Meeting requesting a separation of its Distribution segment.  Kaman regularly engages with shareholders and will review the proposal carefully when it is received.  We value constructive input toward the shared goal of enhancing value. The Kaman Board and management team regularly assess the Company’s structure and business mix. The Company will continue to maintain an open dialogue with shareholders, as it works to drive value creation for all shareholders.
